1. Acceptance of Terms

By accessing or using the website and services provided by Sanctum Labs AI, doing business as Sanctum Labs ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

Sanctum Labs provides the following services to local businesses in the Greater Austin, Texas area:

  • Custom website design and development
  • AI-powered tools and chatbot integration
  • Business automation and workflow optimization
  • Ongoing website maintenance and technical support

The specific scope of services for each client will be outlined in a separate service agreement or project proposal provided before work begins.

3. Payment Terms

  • Setup fees are paid upfront before project work begins.
  • Monthly fees for ongoing services (hosting, maintenance, AI tools) are billed on a monthly basis.
  • There are no long-term contracts. You are free to cancel your monthly services at any time with 30 days written notice.
  • Refunds for setup fees are not available once project work has commenced, unless otherwise agreed in writing.

4. Client Responsibilities

To ensure the successful delivery of our services, you agree to:

  • Provide accurate and complete business information
  • Respond to requests for feedback and approvals in a timely manner
  • Supply necessary content when required, including logos, photographs, and written copy
  • Maintain the confidentiality of any account credentials we provide

Delays in providing required information or approvals may affect project timelines.

5. Intellectual Property

Your content: You retain full ownership of all content you provide to us, including your logos, photographs, text, and brand materials.

Our work: Sanctum Labs retains ownership of the underlying code, tools, frameworks, templates, and proprietary systems used to build and deliver your project, unless otherwise agreed in a separate written agreement. You receive a perpetual, non-exclusive license to use the final deliverables (your completed website and configured tools) for your business purposes.

Third-party assets: Any stock images, fonts, or third-party integrations included in your project are subject to their respective license terms.

6. Limitation of Liability

To the maximum extent permitted by law:

  • Sanctum Labs is not liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to loss of revenue, loss of data, or business interruption.
  • Our total liability for any claim arising from our services is limited to the total fees you have paid to Sanctum Labs in the three (3) months immediately preceding the event giving rise to the claim.

We make every effort to deliver high-quality work, but we do not guarantee specific business outcomes such as increased traffic, leads, or revenue.

7. Termination

Either party may terminate the service relationship with 30 days written notice sent via email.

Upon termination:

  • Any outstanding fees for work already completed or services already rendered are due in full.
  • We will provide you with a copy of your website files and content upon request.
  • Access to Sanctum Labs proprietary tools and managed services will end at the conclusion of the notice period.

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Travis County, Texas.
